An agreement for professional services (the “Agreement”), effective is by and between (hereinafter “Company”) HS Interpreters, Inc. a corporation, with its principal office located in Sacramento, Ca. And (hereinafter “client” (your company / firm / business) ____________________________.
WHEREAS, client finds that the Company is willing to perform certain work hereinafter described in accordance with the provisions of this agreement; and
WHEREAS, client finds that the Company and the companies “subcontractors, independent contractors, employees, etc.” are qualified to perform the work, all relevant factors considered, and that such performance will be in furtherance of client’s business.
NOW, THEREFORE, in consideration of the mutual covenants set forth herein and intending to be legally bound, the parties hereto agree as follows:
Services
Services to client. The company shall provide the following (“Services”) to client(s):
1) Interpreting and / or Translation services (as per each clients request)
2) Free Local confirmation calls, (outside of California may be subject to an additional charge)
3) Faxed Confirmation letters for any assignment, to include cancelled assignments
4) Database calls (if needed, may be subject to an additional charge)
5) Provide
Certified and/or Qualified “Independent Contractors” to complete each
interpreting and / or translating assignment.
Terms and Conditions
1) Hourly
rate is based on type of assignment;
however all appointments are either on a 2,
½ day or Full hour minimum.
After the two (2), (1/2), or (Full day) minimum you will be billed in 15
minute increments (e.g. if the assignment was for 8am – 9am, the customer will
be billed for the 2 hour minimum.

call us so we may provide you with a written
rate proposal.
2) CANCELLATION
> If cancellation of the assignment is made by client with less than 24 hrs
before the start of the assignment, the entire interpreting fee will be due and
payable, though expenses (such as for the travel, mileage, etc., if included in
the agreement), if not actually incurred, will not be due
3) All
communication should be directed to the agency.
HS Interpreters, Inc., will
not be responsible for any information given to the interpreter that is not
received by HS Interpreters.
4) Please
note that any changes, modifications or cancellations must be directed to the
agency immediately.
5) Additional
charges (if applicable) as follow;
Evening surcharge at 10% above standard rates will apply for any portion
of work from 5:00pm to 11:00pm, Graveyard: surcharge of 20% above standard
rates will apply for any portion of work from 11:00pm to 8:00 am, Weekend:
surcharge of 15% above standard rates will apply for work done on Saturday or
Sunday, Travel: Rate at $0.47 cents per mile round trip and/ or standard rate
fee will be applied. No additional charge
for “rush and/or last minute appointments”
6) Although
H S Interpreters may arrange to receive payment through a 3rd. party
with the information provided by you (requester), sometimes 3rd.
party will deny charges even after H S takes proper measures in order to
receive payment such as; authorization, confirmation, etc., sometimes insurance
companies, attorneys, etc. will refuse to make payment, if at any time H S is
unable to receive monetary compensation by 3rd. party, you (client)
will be responsible to make full payment of any services provided by H S
interpreters - to your client, upon your request.
7) Interpreters
& Translators are (independent
contractors); however to better serve you and to maintain our quality
of service we ask your assistance on the following; Company provides all (independent contractors) with HS Interpreters business cards
(interpreter is to write down their name on the card, not their personal
information and or phone number). All
interpreters sign an Independent Contractors Agreement,
agreeing to accept HS assignment(s) with the knowledge and understanding that they are not to solicit and/or provide you (client/customer) with any
of their personal information
– “it is a breach of their
contract”. We strive in providing you with the best
service possible. Please note that in
order to maintain our staff, contractors and our company in business we ask
that you please advice us of the following;
if at any time you are unsatisfied with any of our interpreters,
translators, office staff, services, etc., please contact our administration
department immediately at admin@hsinterpreters.com.
8) SOLICITATION
OF HSI EMPLOYEES; LIQUIDATED DAMAGES.
Client agrees that she/he will not, either
during the term of this Agreement or for a period of (one) year after
termination of this Agreement, solicit, hire and/or engage an employee or
independent contractor of any of HS employees or Contractors.
8) Client and HS agree that is would be difficult to ascertain with a reasonable degree of certainty the damages that would be suffered by HS in the event Client engages and/or hires the employees or contractors of HS. Client and HS further agree that it would impossible to quantify the damages HS would suffer by Client’s breach of this obligation, and that Client shall pay to HS as liquidated damages the sum of $25,000 for each HS employee and or contractor so hired or engaged.
Payment and Invoicing
1) Payment for Services: HS Interpreters, Inc. will be paid as follow:
(a) HS Interpreters Inc. will submit invoices weekly for services rendered.
(b) Payment will be due and payable within 15 days from receipt of invoice (Please note that we offer Net 15, Net 30; however 1st. customers may be required to complete a credit application and or pre-payment of services on 1st. time assignments.
(c) Finance charge of 1.5% per month on the unpaid amount of an invoice, or the maximum amount allowed by law, will be charged on past due accounts.
H S will provide you with a
confirmation letter via fax & will confirm appointment(s) via telephone (2)
days prior to the appointment - “This letter will provide all appointment
details”, if there is a mistake, changes,
etc – please call and make proper changes prior to the appointment.
All Interpreters are pre-screened and must pass a fluency
test both in the English language and the foreign language, before commencing service
with H S Interpreters.
H S Interpreters, Inc. provides interpreters with fluent and
intense medical, legal and general business terminology.
Interpreters are Medical, Legal, Federal or Administrative
Certified or Qualified to assist you with Trials, Hearings, Depositions, Jail
meetings between you and your client, Medical QME, IME or AME, upon your
request.
Qualified Interpreters are also provided to assist with any
of the above and all Regular medical follow – ups, Psychological appointments,
Physical therapy, Occupational therapy, Chiropractic, and general business
appointments, upon your request - so you can rest assure that you will receive
professional, quality and on time service at any time of the day!

I (Client) have read and agree to all of the above “Terms and Conditions” and I authorized H S Interpreters to assist me _____________________________ with all of our interpretation needs.

Either party may cancel this agreement without penalty – if
sufficient notice is given to and received by (H S Interpreters) and other
